Teams

Enterprise teams. Members get Professional features through the team owner's plan.

How to set up an Enterprise customer

  1. Their account. The customer's main contact signs up at nyxprism.com (free), or you add them yourself: Users → Add a user.
  2. Choose how they pay. In Users, open them and use Enterprise & billing: Enterprise ($15 per person a month billed yearly, or $18 monthly, minimum 5), White label ($499 a month or $4,990 a year for up to 25 people, $10 per extra person, $750 one-time setup), or Complimentary (free, for people you comp). Add Premium Support ($199 a month) if they want it. Stripe emails the invoice; they pay by card or bank transfer within 30 days, and it renews automatically. If they stop paying, access pauses by itself.
  3. Create their team below: their email, a team name, and how many seats (people) they bought.
  4. They invite their staff from Account → Team in their dashboard. Each invited person gets an email, creates a free NyxPrism login (or uses theirs), and gets Professional features through the team.
  5. Later: change seats in the table below, or remove the team. Members keep their accounts and files if a team is removed.

Company single sign-on

Staff with these email domains can use "Sign in with your company" on the login page. Set up each company's sign-in first in Google Cloud → Identity Platform → Providers (see Handbook → Settings checklist).

Every paid business plan includes everything in Professional: AI Smart Split, Ask your PDF, signature requests, bulk send with batches, fill forms, scan with camera, OCR, My Documents and the rest.

Enterprise adds: team seats and admins, shared signature templates, 25 GB of My Documents, 5 GB of signing and distribution storage, no daily AI limit, the Organization page, priority email support (1 business day) and invoice billing.

Setting up a customer

Enterprise or White label (billed)

  1. The customer's main contact signs up free at nyxprism.com, or you add them: Users → Add a user.
  2. Open them in Users → Enterprise & billing. Choose Enterprise or White label, the number of people, yearly or monthly, and any add-ons. The total shows as you choose.
  3. Click Send invoice. Stripe emails them the invoice. They have Enterprise immediately.
  4. Create their team on the Teams page (their email, team name, seats). Billing and seats stay in step: changing seats later updates their bill.
  5. They invite their staff from their dashboard: Organization (or Account → Team).
  6. White label only: ask for their logo (PNG or JPG, under 200 KB), company name and brand color, or have them add these under Account → Branding.

Complimentary

Same place, choose Complimentary. Tick Include white label if you're comping that too. Complimentary accounts are never billed, and switching someone to Complimentary stops any billing they had.

Perpetual license

Same place, choose Perpetual license, tick Maintenance & Support if they're buying it, and send. They get the one-time invoice plus a separate support subscription. Delivering their copy is a hands-on job: see Perpetual license.

Invoices & payments

  • Terms: invoices are due in 30 days. Customers pay by card or bank transfer (bank transfer needs turning on in Stripe, see the settings checklist).
  • Renewals invoice automatically each month or year.
  • Late payment: Stripe sends reminders. If an invoice goes unpaid, their Enterprise access pauses automatically (they drop to Free; nothing is deleted). When they pay, it comes back by itself.
  • Seat changes: change seats on the Teams page (or in Enterprise & billing). Stripe charges or credits the difference on the next invoice.
  • Stopping: Stop billing ends it at the end of the period they've paid for; then they go back to Free with their files kept.
  • Refunds and credit notes: do these in your Stripe dashboard (Invoices → the invoice → Refund or Credit note).
  • Where to see money: Stripe dashboard → Payments and Invoices. The Billing page here shows Professional subscribers.

What customers manage themselves

  • Organization page (team owners and admins): everyone on their plan, each person's signature requests, stored files and AI use over 30 days, invite or remove people.
  • Invoices and payment details (team owner only): every invoice with a Pay/View link, and Update payment details (Stripe's secure page).
  • Branding: Account → Branding (name, logo, color). On white label this shows everywhere; otherwise on signing pages and emails.
  • Signing emails: keep document names out of emails, ask signers for an emailed code, attach signed PDFs.

They can't see other customers or your Owner Portal.

White label

What changes for the customer and their staff: their logo and name replace NyxPrism in the dashboard and browser tab; signing pages show their company in the header with no NyxPrism logo; emails go out under their company name; links in emails don't mention nyxprism.com.

What stays: emails are still sent from info@nyxprism.com (your verified sending domain, which keeps delivery reliable), and links still open on www.nyxprism.com.

Their own web address (for example sign.theircompany.com) is possible as extra work: it needs their domain added in Vercel and a DNS record on their side. Treat it as part of the $750 setup, or quote it separately.

Perpetual license (their own copy)

What they buy for $24,900: a white-labeled copy of NyxPrism set up on their own hosting and domain, 12 months of updates, and 30 days of help getting started. It keeps working forever; after 12 months, updates and support need Maintenance & Support ($499/month or $4,990/year).

Why it's worth it to them: their documents never touch your systems (strong for healthcare and legal), no per-person fees, their brand everywhere. Their own running costs are roughly $50–150/month (hosting, database, email, AI).

Before you sell one: the license agreement

Open source warning: the NyxPrism code is currently public on GitHub under the Apache 2.0 license, which lets anyone use and rebrand it free. Before selling licenses, talk to your lawyer about making the repository private and relicensing the web app and server as proprietary; code already published stays under Apache for anyone who copied it.

A full draft agreement is in Sales kit (download for Word to send to your lawyer). Have a lawyer finish it. It should cover: they may use it for their own organization only; no reselling, sublicensing or sharing the code; you keep ownership of the software; what "updates" and "support" include and for how long; no warranty beyond what's written; limits on liability; confidentiality of the code; what happens if they stop paying for maintenance (the software keeps working, updates stop).

Delivery checklist

  1. Signed agreement and paid invoice.
  2. A private copy of the NyxPrism code for them (never give access to your own repository).
  3. Their own accounts, in their name: hosting (for example Railway or their own servers), a PostgreSQL database, Vercel (or other web hosting), Firebase (sign-in), Brevo (email) with their domain verified, Anthropic (AI) if they want AI features, and Sentry (error reports) if wanted. Stripe only if they'll charge their own customers.
  4. Rebrand: name, logo, colors, the website text, and the sending email address.
  5. Set the environment settings, connect their domain, and test sign-in, a signature request end to end, email delivery and AI.
  6. Hand over: admin login, a short walkthrough call, and where to ask for help.

Set aside roughly 2–4 days of work per license. This is a good job to do together with a developer.

Support levels (what to promise)

Only promise what you can keep: business hours are Monday to Friday, your time zone. Write the response times into quotes and the license agreement exactly as above.

Pricing guidance

  • Yearly first: offer yearly billing by default (it's cheaper for them and steadier for you).
  • Discounts: up to 20% for nonprofits, schools or multi-year prepay is reasonable. Give discounts as a Stripe coupon or a credit note, not by changing prices.
  • Enterprise vs White label: from about 50 people (yearly billing), or about 32 people (monthly), White label costs less than Enterprise, so suggest it to large teams even if they don't need the branding.
  • License vs White label: the license is about 5 years of White label paid up front (and with Maintenance it doesn't work out cheaper). Sell it on control, not savings: their own copy, their own servers, documents that never leave their organization.
  • Pilots: give a new organization 30 days Complimentary, then switch them to billed.

Healthcare & HIPAA

  • NyxPrism's rule: patient information only inside the PDFs, never in email subjects, titles or names.
  • For healthcare customers, turn on (in their Account → Signing emails): Keep document names out of emails, and turn off Attach the signed PDF. Optionally Ask signers for an emailed code.
  • Before signing a Business Associate Agreement with a customer, you need your own BAAs with Railway and Vercel (and Anthropic if they use AI on patient documents). Details are in HIPAA_READINESS.md in the code.
  • A Perpetual license avoids all of this for you: their copy, their servers, their BAAs.

Settings checklist

Stripe

  • Railway uses your live secret key (STRIPE_SECRET_KEY) and webhook secret (STRIPE_WEBHOOK_SECRET).
  • Webhook to https://www.nyxprism.com/api/stripe/webhook with events customer.subscription.created, .updated, .deleted.
  • Settings → Payments → Payment methods: turn on ACH / bank transfer for invoices if you want it.
  • Settings → Billing → Invoices: your business name, logo, and footer text.
  • Settings → Billing → Customer emails: invoice reminders on.

Railway settings you may want

  • ENTERPRISE_EMAILS: extra emails that always get Enterprise free (comma-separated).
  • BREVO_WEBHOOK_KEY: for email delivery reports (bounces, blocks) in the dashboard.
  • AI_DAILY_LIMIT: the daily AI limit for Professional (default 100).

Text messages, photo ID checks and cloud saving

These stay hidden from customers until you switch them on. Settings go in Railway: open the backend service → Variables → New variable. Railway restarts the server by itself.

  • Text messages (Twilio), about 1 to 2 cents a text: sign up at twilio.com, buy a toll-free number (about $2 a month), and complete Toll-free verification (your business details; it takes a few days, and US texts aren't delivered until it's approved). Then add TWILIO_ACCOUNT_SID and TWILIO_AUTH_TOKEN (both on the Twilio console home page) and TWILIO_FROM (the number, like +18885551234). Each account can send 1,000 texts every 30 days; change that with SMS_MONTHLY_LIMIT.
  • Photo ID check (Stripe Identity), $1.50 per check, billed to your Stripe account: in the Stripe dashboard open Identity and activate it (Stripe reviews your business). Then add STRIPE_IDENTITY = on.
  • Saving to Google Drive or Dropbox: first add CLOUD_TOKEN_KEY, a secret 64-character key that protects the stored connections (ask Claude for one; never change it once set, or everyone has to reconnect).
Google Drive: console.cloud.google.com → your Firebase project → APIs & Services → enable Google Drive API. Set up the OAuth consent screen (app name NyxPrism, add the scope drive.file, publish it). Then Credentials → Create credentials → OAuth client ID → Web application, with the redirect URI https://www.nyxprism.com/api/cloud-save/google/callback. Add the client ID and secret as GOOGLE_OAUTH_CLIENT_ID and GOOGLE_OAUTH_CLIENT_SECRET.
Dropbox: dropbox.com/developers/apps → Create app → Scoped access → App folder → name it NyxPrism. On Permissions tick files.content.write and account_info.read and submit. On Settings add the redirect URI https://www.nyxprism.com/api/cloud-save/dropbox/callback, then add the App key and App secret as DROPBOX_APP_KEY and DROPBOX_APP_SECRET. Dropbox limits a new app to a few users at first, so press Apply for production on that page once customers start connecting.
  • Spanish signing and shared team templates need no setup: they're on for everyone.

Sign-in options

  • Continue with Google: Firebase console → Authentication → Sign-in method → Google → Enable.
  • Continue with Microsoft: register an app in Microsoft Entra (portal.azure.com → App registrations → New; supported accounts: any organization and personal), add the redirect URI Firebase shows you, create a client secret, then Firebase → Sign-in method → Microsoft → paste the Application (client) ID and secret.
  • Company single sign-on (Enterprise): get the customer's SAML details from their IT (Entra/Okta: the sign-in URL, entity ID and certificate). In Google Cloud console → Identity Platform → Providers → Add a provider → SAML, enter them (give it an ID like saml.acme-health), and give their IT the service provider details it shows. Then add their email domain and that provider ID on the Teams page.

Waiting on you

  • Continue with Google only works once switched on in Firebase (steps under "Sign-in options" above).
  • Continue with Microsoft is on hold and hidden from the login page. When you want it: do the Microsoft steps above (it needs a free Azure account), then ask to switch it on.

Troubleshooting

"I'm not getting the emails"

  1. In the NyxPrism dashboard: Account → Email delivery check, enter the address, Check status.
  2. Blocked by Brevo: click Unblock (NyxPrism also does this automatically before sending).
  3. Delivered but not in the inbox: their email system is holding it. Check Junk, and for Microsoft 365, security.microsoft.com/quarantine. Their IT should allow the sender domain nyxprism.com.
  4. Refused: the reason is shown; send it to their IT.
  5. Test emails arrive but signing emails don't: turn on Keep document names out of emails and use neutral titles.

A customer paid but still shows Free

Check the Stripe webhook is delivering (Stripe → Developers → Webhooks → recent events). Re-sending the event, or saving their billing again here, fixes it.

A team won't create

The owner needs a NyxPrism account first (Users → Add a user), and each account can own only one team.

Changing prices

Prices live in one place in the code (backend/src/billing.js, PRICING) and on the website pricing section (docs/index.html). Ask your developer (or Claude) to change both together. New invoices and seat changes use the new prices; existing customers keep theirs until their plan is changed.

Perpetual license agreement (draft)

A starting point for your lawyer. It is not legal advice: have an attorney review and finish it before anyone signs. Fill in the items in [brackets].

Before selling licenses: NyxPrism's code is currently public on GitHub under the Apache 2.0 open-source license, which lets anyone use it free. This agreement assumes the software is proprietary. Ask your lawyer about making the repository private and relicensing the web app and server (see Handbook → Perpetual license).

DRAFT FOR ATTORNEY REVIEW. Not legal advice. Items in [brackets] need to be completed or confirmed.

NyxPrism™ Perpetual Software License Agreement

This Perpetual Software License Agreement (the "Agreement") is made on [Effective Date] (the "Effective Date") between NyxCollective LLC, a [Delaware] limited liability company with its principal place of business at [address] ("Licensor"), and [Customer legal name], a [state and entity type] with its principal place of business at [address] ("Customer"). Licensor and Customer are each a "Party".

1. Definitions

1.1 "Software" means the NyxPrism document, e-signature and AI web application and server software, in source and object code form, as delivered by Licensor under this Agreement, including any Updates Customer receives, and excluding Third-Party Components.

1.2 "Documentation" means the installation, configuration and user guides Licensor provides with the Software.

1.3 "Customer Environment" means the servers, hosting accounts, databases, domains and third-party service accounts that Customer owns or controls and on which the Software is installed.

1.4 "Third-Party Components" means open-source software and third-party libraries or services used by the Software, each governed by its own license or terms (see Schedule C).

1.5 "Updates" means bug fixes, security patches and new versions of the Software that Licensor makes generally available to its licensees.

1.6 "Authorized Users" means Customer's employees and contractors who use the Software on Customer's behalf.

1.7 "Customer Data" means all documents, content, personal information and other data that Customer or its Authorized Users or signers process with the Software.

2. License

2.1 Grant. Subject to Customer's payment of the License Fee and compliance with this Agreement, Licensor grants Customer a perpetual, non-exclusive, non-transferable, non-sublicensable license to install, use, modify and run the Software in the Customer Environment solely for the internal business purposes of Customer [and its affiliates listed in Schedule A], including to provide document and signature services to Customer's own patients, clients, employees and business contacts.

2.2 White labeling. Customer may replace the NyxPrism name, logo and branding in the user interface and communications of its installation with Customer's own branding. Customer may not remove copyright or license notices from the source code.

2.3 Restrictions. Customer shall not, and shall not permit anyone to: (a) sell, resell, rent, lease, sublicense, distribute or otherwise make the Software or its source code available to any third party; (b) offer the Software, or any product substantially based on it, to third parties as a hosted, software-as-a-service or white-label product; (c) use the Software to build a competing product; (d) disclose the source code except to Authorized Users and contractors bound by written confidentiality obligations at least as protective as this Agreement; or (e) use the Software in violation of applicable law.

2.4 Reservation of rights. The Software is licensed, not sold. Licensor and its licensors retain all right, title and interest in the Software, Documentation and all intellectual property rights in them. No rights are granted except as expressly stated. Customer owns its modifications, subject to Licensor's underlying rights in the Software.

2.5 Trademarks. This Agreement grants no right to use the NyxPrism or NyxCollective names or marks, other than as they appear in the unmodified Software before Customer rebrands it.

3. Delivery and installation

3.1 Delivery. Within [30] days after receipt of the License Fee and signature of this Agreement, Licensor will deliver the Software (as a private code repository or archive) and the Documentation.

3.2 Installation services. Licensor will install and configure the Software in the Customer Environment, apply Customer's branding, and conduct one walkthrough session, as described in Schedule A. Customer will provide timely access to the Customer Environment and the information Licensor reasonably requests.

3.3 Acceptance. The Software is accepted when Licensor confirms it is installed and it performs the core functions in the Documentation (sign-in, a signature request completed end to end, and email delivery), or [10] business days after installation if Customer has not reported a material failure in writing, whichever is earlier. Licensor will correct reported material failures within a reasonable time.

4. Fees and payment

4.1 License Fee. Customer shall pay the one-time license fee of US $24,900 (the "License Fee"), invoiced on signature and due within 30 days of the invoice date.

4.2 Maintenance & Support. If Customer orders Maintenance & Support (Section 5.2), Customer shall pay US $499 per month or US $4,990 per year, invoiced in advance and due within 30 days, beginning [on the first anniversary of the Effective Date / on the Effective Date]. Optional Premium Support is US $199 per month.

4.3 Taxes. Fees exclude taxes. Customer is responsible for all sales, use, VAT and similar taxes, other than taxes on Licensor's income.

4.4 Late payment. Overdue amounts may bear interest at the lesser of 1.5% per month or the maximum rate permitted by law. Licensor may suspend Maintenance & Support while amounts are overdue by more than 30 days. Non-payment of Maintenance & Support does not revoke the license in Section 2.

4.5 Third-party costs. Customer is responsible for all fees for the Customer Environment and third-party services it uses with the Software (for example hosting, database, email delivery, AI and error-reporting services).

5. Updates and support

5.1 First year. For 12 months after acceptance, Licensor will provide Updates and email support for the Software as described in Schedule B, and 30 days of setup assistance after installation.

5.2 Maintenance & Support. After the first year, Updates and support continue only while Customer subscribes to Maintenance & Support. Either Party may cancel Maintenance & Support at the end of a paid period on 30 days' written notice. If Customer later resubscribes, Licensor may charge the fees for the lapsed period [or a reinstatement fee of US $___].

5.3 Exclusions. Support does not cover problems caused by Customer's modifications, the Customer Environment, third-party services, or use contrary to the Documentation. Licensor may provide such help at its then-current hourly rate of US $[150] per hour, with Customer's prior approval.

6. Customer responsibilities

6.1 Environment and security. Customer is responsible for the Customer Environment, including its security, backups, availability, access controls, and for keeping it and the Software updated.

6.2 Customer Data and compliance. Customer is solely responsible for Customer Data and for its compliance with laws that apply to it, including privacy, health-information (such as HIPAA), employment and electronic-signature laws, and for obtaining any consents required from its signers and users.

6.3 Access by Licensor. Licensor does not host, store or require access to Customer Data. If Customer gives Licensor access to the Customer Environment for installation or support, Licensor will access it only as needed for that purpose. If that access could expose Licensor to protected health information, the Parties will first sign a Business Associate Agreement, or Customer will provide access in a way that does not expose such information. [Attorney: confirm approach.]

7. Confidentiality

Each Party will keep the other's non-public information disclosed under this Agreement confidential, use it only to perform this Agreement, and protect it with at least reasonable care. The Software's source code and Documentation are Licensor's confidential information. These obligations do not apply to information that is public through no fault of the recipient, already known to it, independently developed, or rightfully received from a third party, and do not prevent disclosures required by law (with prompt notice where lawful). These obligations survive for [5] years after termination, and for the source code, for as long as it remains a trade secret.

8. Warranties and disclaimers

8.1 Performance warranty. Licensor warrants that for 90 days after acceptance the unmodified Software will perform materially in accordance with the Documentation. Customer's exclusive remedy, and Licensor's sole obligation, for breach of this warranty is for Licensor to correct the non-conformity or, if it cannot do so within a reasonable time, refund the License Fee on return or destruction of the Software.

8.2 Authority. Each Party warrants that it has the authority to enter this Agreement.

8.3 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE SOFTWARE, THIRD-PARTY COMPONENTS AND SERVICES ARE PROVIDED "AS IS", AND LICENSOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT AI FEATURES WILL PRODUCE ACCURATE RESULTS. CUSTOMER IS RESPONSIBLE FOR REVIEWING AI OUTPUT AND THE LEGAL SUFFICIENCY OF SIGNATURES FOR ITS PURPOSES.

9. Limitation of liability

EXCEPT FOR BREACH OF SECTION 2.3 (RESTRICTIONS), SECTION 7 (CONFIDENTIALITY), OR A PARTY'S INDEMNITY OBLIGATIONS: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) EACH PARTY'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER UNDER THIS AGREEMENT IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM [OR, IF GREATER, THE LICENSE FEE].

10. Indemnification

10.1 By Licensor. Licensor will defend Customer against third-party claims that the unmodified Software infringes a United States patent, copyright or trademark, or misappropriates a trade secret, and pay resulting damages finally awarded or agreed in settlement. If such a claim arises, Licensor may modify the Software to be non-infringing, obtain a license for continued use, or, if neither is reasonably possible, terminate the license and refund the License Fee less straight-line depreciation over five years. This does not apply to claims caused by Customer's modifications, Third-Party Components, combinations with items not supplied by Licensor, or use in breach of this Agreement.

10.2 By Customer. Customer will defend Licensor against third-party claims arising from Customer Data, Customer's modifications, or Customer's use of the Software in breach of this Agreement or applicable law, and pay resulting damages finally awarded or agreed in settlement.

10.3 Process. The indemnified Party must give prompt written notice, reasonable cooperation, and sole control of the defence and settlement to the indemnifying Party, which may not settle in a way that imposes obligations on the indemnified Party without its consent.

11. Term and termination

11.1 Term. This Agreement begins on the Effective Date and continues until terminated. The license in Section 2 is perpetual unless terminated under this Section.

11.2 Termination for breach. Either Party may terminate this Agreement if the other materially breaches it and does not cure the breach within 30 days after written notice. Licensor may terminate immediately on written notice if Customer breaches Section 2.3.

11.3 Effect. On termination of this Agreement, the license ends, and Customer will stop using the Software and delete all copies, and certify deletion on request. Customer remains able to export its Customer Data. Sections 2.3, 2.4, 4 (for amounts accrued), 6.2, 7, 8.3, 9, 10, 11.3 and 12 survive.

12. General

12.1 Governing law and venue. This Agreement is governed by the laws of the State of [Delaware], without regard to conflict-of-laws rules. The Parties submit to the exclusive jurisdiction of the state and federal courts located in [county, state]. [Attorney: consider arbitration.]

12.2 Assignment. Neither Party may assign this Agreement without the other's written consent, except to a successor in a merger or sale of substantially all of its assets or the business to which this Agreement relates, on written notice.

12.3 Verification. On reasonable notice, and no more than once a year, Customer will certify in writing that its use complies with Section 2.

12.4 Export and sanctions. Customer will comply with applicable export control and sanctions laws.

12.5 Independent contractors; no third-party beneficiaries. The Parties are independent contractors. This Agreement creates no rights for third parties.

12.6 Notices. Notices must be in writing and delivered by hand, recognized courier or email with confirmation, to the addresses in Schedule A.

12.7 Force majeure. Neither Party is liable for delays caused by events beyond its reasonable control, other than payment obligations.

12.8 Entire agreement; order of precedence. This Agreement, including its Schedules, is the entire agreement on its subject and supersedes all prior agreements and proposals. Customer purchase-order terms do not apply. Amendments must be in writing and signed by both Parties. If a provision is unenforceable, it will be modified to the minimum extent needed and the rest remains in effect. A waiver must be in writing. This Agreement may be signed electronically and in counterparts.
