Effective January 1, 2024 — NyxCollective LLC
These Terms of Service ("Terms") govern your access to and use of NyxPrism™ software, including the command-line toolkit, Python library, visual TUI interface, and any associated services provided by NyxCollective LLC ("Company", "we", "us", or "our").
By downloading, installing, or using NyxPrism™ in any form you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them.
The NyxPrism™ open-source core (the "Community" tier) is distributed under the MIT License. A copy of the MIT License is included in the software distribution and is available on PyPI.
Professional and Enterprise tier features, where applicable, are licensed to you personally and non-exclusively for the duration of your active paid subscription. You may not sublicense, resell, or redistribute Professional or Enterprise tier features without prior written consent from NyxCollective LLC.
You may use NyxPrism™ for any lawful purpose, including personal, commercial, and enterprise use, subject to these Terms and the applicable license. Permitted uses include:

NyxPrism™ optionally integrates with the OpenAI API to provide LLM-quality AI analysis. When you configure an OpenAI API key and use the --strategy llm or --strategy auto option, text extracted from your PDFs may be sent to OpenAI servers for processing.
Use of the OpenAI API is subject to OpenAI's Terms of Service and Privacy Policy. NyxCollective LLC is not responsible for OpenAI's handling of any data you send to their API. You are responsible for supplying your own API key and for any associated charges from OpenAI.
All heuristic AI processing (--strategy heuristic) is performed entirely locally on your machine. No data is sent to any server.
Professional and Enterprise tier features require an account. You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorised use of your account.
Subscription fees are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by applicable law or as explicitly stated in a separate agreement. We reserve the right to change pricing with 30 days' prior notice.
Free trials (where offered) are limited to one per person. Creating multiple accounts to obtain additional free trials is a violation of these Terms.
NyxPrism™ and the NyxPrism logotype are trademarks of NyxCollective LLC. Nothing in these Terms grants you any right to use our trademarks without our prior written consent, except as permitted for nominative fair use.
All contributions to the open-source project are governed by the MIT License and the project's contribution guidelines.
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NYXCOLLECTIVE LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT IT WILL MEET YOUR REQUIREMENTS.
AI-generated outputs (summaries, classifications, extracted information, suggested filenames) are provided for convenience only and may contain errors. You are responsible for verifying all AI-generated results before relying on them.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NYXCOLLECTIVE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In any case, the total liability of NyxCollective LLC shall not exceed the amounts paid by you for the software in the twelve (12) months immediately preceding the event giving rise to the claim.
We may revise these Terms from time to time. When we make material changes, we will update the "Effective" date at the top of this page and, for paid subscribers, send a notice to the email address on your account. Your continued use of the software after the updated Terms take effect constitutes your acceptance of the changes.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
